Not a franchise.
A co-ownership deal.

FOCO stands for Franchise Owned, Company Operated. In the Halix model, “Owned” is not a license or a branding agreement — it is genuine equity ownership in a separately incorporated company that holds your station.

Every Halix energy station is formed as its own Special Purpose Vehicle (SPV) — a LLP Company. You and Halix each hold 50% of that company. The station’s assets, revenue, and profit belong to the SPV. Your liability is ring-fenced. Your returns are auditable and quarterly.

You invest 25% of the total station cost. Halix Bharat Limited arranges 75% — through a combination of term debt, private equity, and bank project finance. This means your 25% investment translates to 50% equity because Halix co-funds the balance from its own capital allocation in partnership with you.

Questions answered.

What exactly is an SPV and why is it used?
An SPV (Special Purpose Vehicle) is a separate LLP Company formed specifically to own and operate a single Halix energy station. Every station gets its own SPV. This structure ring-fences each station’s liabilities — your personal assets are not at risk beyond your 25% equity investment. The SPV files its own annual returns, gets audited independently, and can be bought, sold, or merged independently of other stations.
My investment is 25% but I get 50% equity — how?
Halix Bharat Limited co-invests in your success. You bring 25% of the project cost as equity. HBL contribute private equity from the Halix group, and HBL arrange 50% through a combination of term debt (bank project finance in the SPV’s name). As a co-promoter, Halix arranging this capital, but grants you 50% profit share. In short: your 25% investment = 50% ownership because Halix values what you bring beyond just money.
Is the loan in my name? Am I liable for the debt?
No. The term debt is in the name of the SPV (the station’s Private Limited Company). The SPV services the loan from its own revenue. As a 50% shareholder, your liability is limited to your equity investment — exactly like any other shareholder in a limited company. Your personal assets are not attached to the station’s debt.
What if I want to operate the station myself?
The first right of operation is always offered to you, the Franchisee Partner. Halix provides comprehensive operations training, App dashboard access, and 24/7 technical support. You hire and manage local station staff. Operating the station yourself typically results in higher net returns.
What if I don’t want to handle daily operations?
If you opt out of operations, Halix takes over full day-to-day management — staffing, battery logistics, maintenance, and customer service. A management fee is charged before the net profit is split 50:50. You hold your 50% equity and receive your profit share quarterly without any operational involvement.
How is profit calculated and when is it paid?
Station Revenue minus Operating Costs (electricity, staff, consumables) minus Loan EMI minus Depreciation = Net Profit. Net Profit is split 50% to Partner, 50% to Halix. Accounts are prepared quarterly by the SPV’s CA (Samrat Sonwane & Associates), audited, and profit is distributed within 15 working days of each quarter close.
Can I exit the investment and sell my stake?
Yes. Your 50% stake in the SPV is a fully transferable equity holding, subject to the Shareholders’ Agreement. You can: (a) sell to Halix at a mutually agreed valuation; (b) bring in a third-party buyer with Halix’s right of first refusal; or (c) hold indefinitely and continue receiving profit distributions.
What is the minimum space/property requirement?
For a Village Swap Kiosk: minimum 1,000 sq ft (ground floor). For an Urban Compact Station: minimum 3,000 sq ft. For a Highway Energy Hub: 0.5 Acre to 1 Acre. The property should be ground floor, accessible to two-wheelers and three-wheelers, with access to a 3-phase electricity connection. Halix’s site assessment team will evaluate and confirm during the feasibility visit.
Is there any franchise fee or brand license fee?
No separate franchise fee. Your 25% equity investment is your only financial contribution. For women-led SHG applicants under the Shakti Swap programme, the process is identical with priority allocation and additional MUDRA finance linkage support.

25% investment. 50% of a growing business. For life.
